Terms of Service

These Terms of Service (the "Terms") govern your use of the Web Brief AI service (the "Service"), provided by Host Dada Ltd (Company No. 14514477), 124 City Road, London, United Kingdom, EC1V 2NX ("we", "us", "our"). By creating an account, subscribing to a paid plan, or otherwise using the Service, you ("you", the "Customer") agree to be bound by these Terms.

1. The Service

Web Brief AI is an online tool that assists agencies, freelancers, and businesses in generating website briefs, content drafts, structural recommendations and supporting documentation using artificial intelligence ("AI"). Outputs are produced by third-party AI models in response to inputs you supply.

2. Eligibility & Accounts

• You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
• You are responsible for the accuracy of your registration details and for keeping your password secure.
• You are responsible for all activity that takes place under your account, including activity by team members or invitees you authorise.
• You must notify us promptly at admin@hostdada.co.uk if you suspect unauthorised access.

3. Subscriptions, Fees & Billing

• Paid plans are billed in advance via our payment processor, Stripe. By subscribing, you authorise us (via Stripe) to charge the payment method on file.
• Subscriptions renew automatically at the end of each billing period until cancelled.
• You may cancel at any time from the billing portal; cancellation takes effect at the end of the then-current paid period and you retain access until that date.
• Except where required by law, fees are non-refundable.
• If a payment fails, we may suspend or downgrade your account until payment is brought up to date.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, harmful, defamatory, or infringing purpose;
• Submit content you do not have the right to submit, including content protected by third-party intellectual property rights;
• Submit personal data of third parties without a lawful basis;
• Attempt to gain unauthorised access to the Service, other accounts, or our underlying infrastructure;
• Probe, scan, scrape or otherwise interfere with the Service, or attempt to reverse-engineer the AI prompts, models, or system behaviour;
• Resell, sublicense, or rebrand the Service as your own without our written consent;
• Use the Service to generate spam, malware, content that sexually exploits minors, or content that incites violence or hatred.

We reserve the right to suspend or terminate accounts that breach this clause, without refund.

5. Your Content & AI-Generated Output

5.1 Inputs

You retain ownership of all material you submit to the Service ("Inputs"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and forward your Inputs to third-party AI providers solely to the extent necessary to deliver the Service to you.

5.2 Outputs

Subject to your compliance with these Terms and payment of applicable Fees, we assign to you whatever rights we have in the AI-generated output produced specifically for your account ("Outputs"). You acknowledge that:

• AI outputs are generated probabilistically and may contain errors, omissions, biased statements, fabricated facts, or content that is similar to material produced for other users;
• Identical or similar Inputs may produce similar Outputs across different users; we make no claim of exclusivity or originality of Outputs;
• You are solely responsible for reviewing, editing, fact-checking and approving any Output before relying on it, publishing it, or providing it to your own clients or third parties.

5.3 Intellectual Property & Copyright

6. Service Availability

We will use reasonable endeavours to keep the Service available, but we do not guarantee uninterrupted operation. The Service may be unavailable due to scheduled maintenance, emergency maintenance, third-party AI provider downtime, network failures, or events beyond our reasonable control. No service-level credits are offered for the Service unless expressly stated in your plan.

7. Third-Party Services

The Service depends on third-party providers, including but not limited to:

• Stripe — payment processing;
• OpenAI, Anthropic, and other AI providers — model inference and content generation;
• Hosting and email infrastructure providers.

Your use of the Service is also subject to those third parties' terms where applicable. We are not liable for the acts, omissions, outages or policies of any third-party provider.

8. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that AI Outputs will be correct, complete, useful, or suitable for your particular use case.

9. Limitation of Liability

Where liability cannot lawfully be excluded, our total aggregate liability to you arising out of or in connection with the Service shall not exceed the total Fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.

10. Indemnity

You agree to indemnify and hold harmless Host Dada Ltd against any claim, demand, loss, damage, cost or expense (including reasonable legal fees) arising from: (a) Inputs you submit to the Service; (b) your use of any Output; (c) your breach of these Terms; or (d) your violation of any third-party right, including any intellectual property right.

11. Suspension & Termination

• You may terminate your account at any time via the billing portal or by contacting support.
• We may suspend or terminate your access immediately if you breach these Terms, fail to pay Fees, abuse the Service, or if required by law.
• On termination, your right to use the Service ends immediately. We may retain Inputs and account data only as required by law or as set out in our Privacy Policy.

12. Data Protection

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

13. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be communicated by email or by a notice on the Service. Continued use of the Service after a change constitutes acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms or the Service.
